These Terms are an agreement between you and Right Intent SI LLC (“we,” “us”), a Massachusetts limited liability company that runs Book Keeper (also written BookKeeper) at https://igoquick.com (the “Service”). By creating an account, ticking the box to agree, or using the Service, you accept these Terms, our Privacy Policy and our Acceptable Use Policy. If you don’t agree, don’t use the Service.
If you use the Service for a business, you agree to these Terms for that business and confirm you are allowed to. “You” then means both you and the business.
1. Who can use the Service
You must be at least 18 and able to enter a contract. The Service is for keeping the books of a business, including a sole proprietorship. It isn’t offered to anyone we are not allowed to do business with under US law.
2. Your account
- Give accurate information and keep it up to date.
- Keep your password and two-step verification codes private. You’re responsible for what happens under your account and for the people you invite to your companies, and the roles you give them.
- Tell us right away at support@igoquick.com if you think someone has used your account without permission.
3. Plans, the free month and automatic renewal
Paid plans renew automatically. Unless you cancel, we charge the card on file at the start of each new monthly or yearly period, at the price then in effect, plus any extra bank accounts and sales tax, until you cancel.
- Prices. Plans are priced per company, in US dollars, and are shown on the pricing page and again before you pay. Massachusetts sales tax is added where it applies.
- The free month. Paid plans start with one free month, card required, once per person and per card. Before you start, we show the date the free month ends and the amount you’ll be charged. If you cancel before that date, you pay nothing. If you don’t, the first charge happens on that date and the plan then renews as described above.
- Reminders. We email you before your free month ends and before a yearly plan renews, at least 5 days before the charge.
- How to cancel. Cancel online any time in Settings → Billing & plan → Manage billing. It takes a few clicks; you don’t need to call or email us. Cancelling stops all future charges. You keep access until the end of the period you’ve paid for.
- Refunds. You can get a full refund of a yearly plan within 30 days of being charged for it: email support@igoquick.com. Monthly charges, renewals after the 30-day window, extra bank accounts and add-ons aren’t refunded, except where we made a billing mistake or the law requires a refund. Deleting a company doesn’t refund unused time.
- Price changes. We’ll email you at least 30 days before a price increase applies to you. It applies from your next renewal, so you can cancel before then.
- Failed payments. If a payment fails, Stripe retries it for about two weeks. If it still fails, the subscription ends and the company moves to the Free plan where it’s available, or becomes read-only.
- Upgrades and downgrades. Upgrades apply right away and are prorated. Downgrades apply at the end of the current period.
4. The Free plan
The Free plan costs nothing and needs no card. It has the limits shown on the pricing page (today: 1 editor and 1 viewer, 20 invoices and sales receipts a month, and 10 AI credits a month), and one Free company per person. We may change the Free plan’s limits or end it with 30 days’ notice; your books stay viewable and exportable. A Free company that nobody signs in to for 12 months may be deleted; we email the owners 60 and 30 days before, and signing in stops it.
5. AI Assistant and credits
The Assistant (beta) answers questions about your books and proposes changes. It never changes your books until someone with edit rights approves, and approved changes can be undone in History. AI answers can be wrong or incomplete. Check them before you approve or rely on them.
The Assistant uses credits held by one company. Credits are used up according to the AI work actually done, can’t be moved between companies, have no cash value, and expire 24 months after they are added. Credits included with a plan expire at the end of that month. Credit purchases aren’t refundable, except for our billing mistakes or where the law requires. Prices and credit rates are shown before you buy and may change for future purchases.
6. Friend invites and referral rewards
- An owner of a company can invite a friend to start their own BookKeeper company. Invite only people you know, one at a time; don’t post invite links publicly or send them in bulk.
- When the friend’s company makes its first paid charge, the inviting company earns one free month: a credit on its BookKeeper bill equal to one month of its current subscription (one twelfth of a yearly plan, after discounts). If the inviting company isn’t paying yet, the reward waits until it is.
- One reward per friend’s company. No rewards for inviting yourself, a second company of your own, or someone who is already a member of your company. Rewards have no cash value, can’t be transferred, and end if the inviting company is deleted.
- We may withhold or reverse rewards obtained by fraud, fake accounts or breaking these Terms, and we may change or end the program at any time. Rewards already earned stay earned.
7. Your data
Your books, files and other content (“Your Data”) belong to you. You give us permission to store, copy, process and display Your Data only to run, secure and support the Service for you, as described in the Privacy Policy. We don’t use one company’s data to serve another company.
You can export Your Data at any time in Settings. You are responsible for keeping your own copies of the records you need for taxes and other legal purposes, for as long as the law requires.
8. Your responsibilities
- The accuracy of what you enter or import, and for reviewing what the Service and the Assistant produce.
- Your tax returns, sales tax returns, 1099s and other filings, including what they say and filing and paying on time.
- Having the right to put other people’s information into the Service (customers, vendors, contractors), giving any notices the law requires, and getting consent where needed, for example before emailing a 1099 instead of mailing it.
- Your dealings with your customers and vendors. Online payments go to your own Stripe account, under Stripe’s terms; you are the seller, and refunds, disputes and chargebacks are between you, your customer and Stripe.
- Following the law, including privacy, consumer protection, anti-spam and tax laws, when you use the Service.
9. Not tax, legal or accounting advice
BookKeeper is software. Its tax worksheets, Schedule C lines, 1099 and ST-9 helpers, “Ready to file” checks, Assistant answers and reports help you organize your numbers; they are not tax, legal, accounting or financial advice, and using the Service doesn’t make us your accountant or advisor. Tax rules change and depend on your situation. Check figures and forms before you file or rely on them, and ask a licensed professional when you’re unsure. See our full disclaimer.
10. Services you connect
The Service works with Stripe, Stripe Financial Connections, Mercury, Square, QuickBooks Online and others you choose to connect. Those services are run by other companies under their own terms and privacy policies, which you accept when you connect them. We aren’t responsible for their outages, fees, errors or changes, including a bank feed that stops or sends wrong data. You can disconnect them in Settings.
11. Acceptable use
Use the Service only lawfully and as our Acceptable Use Policy allows. In short: no fraud, no money laundering, no fake invoices, no spam, no attacking or overloading the Service, and no access to data that isn’t yours.
12. Changes to the Service
We improve the Service over time and may add, change or remove features. Features marked beta may change or end. If we remove a significant feature you pay for, we’ll tell you in advance, and you can cancel. We aim to keep the Service available but don’t promise it will be uninterrupted.
13. Suspension and termination
- You can stop using the Service, cancel your plan, or delete a company or your account at any time in Settings.
- We may suspend or close an account, or a company in it, if you seriously or repeatedly break these Terms, don’t pay, put the Service or other users at risk, or if the law requires it. Unless the law, security or fraud prevents it, we’ll tell you first and give you at least 30 days to export Your Data.
- After a paid plan ends, the company moves to the Free plan where it’s available. Otherwise it stays readable and exportable for 24 months, after which we may delete it after emailing the owners.
- Deletions you request are scheduled for 7 days so they can be cancelled, then carried out as described in the Privacy Policy.
- Sections that by their nature should continue after termination (including 7, 9 and 14 to 19) continue.
14. Our intellectual property and feedback
The Service, its software, design and the BookKeeper name belong to Right Intent SI LLC or its licensors. These Terms give you the right to use the Service, not to copy, resell or reverse engineer it, except where the law doesn’t allow that restriction. If you send us ideas or feedback, we may use them without owing you anything.
15. Disclaimer of warranties
The Service is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We don’t promise that the Service will be uninterrupted or error-free, that data will never be lost, or that its reports, bank feeds, imports, tax worksheets, forms or Assistant answers will be complete, correct or right for any filing.
16. Limitation of liability
To the fullest extent the law allows, neither Right Intent SI LLC nor its members, managers, employees or contractors will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, or for tax penalties, interest or late fees, even if told they were possible. Our total liability for all claims about the Service or these Terms is limited to the greater of the amount you paid us for the Service in the 12 months before the claim arose, or US $100.
These limits don’t apply where the law doesn’t allow them, such as for fraud or for harm we cause intentionally or through gross negligence.
17. Indemnity
If someone else makes a claim against us because of Your Data, your use of the Service in breach of these Terms or the law, or your dealings with your customers, vendors, teammates or tax authorities, you will cover our reasonable costs of that claim, including reasonable lawyers’ fees and any amounts we have to pay. We’ll tell you about the claim promptly and let you take part in the defense.
18. Resolving disputes
Talk to us first. Most problems can be fixed quickly. Before starting any legal claim, email support@igoquick.com with a description of the problem and what you want, and give us 30 days to try to resolve it.
Arbitration. If we can’t resolve it, any dispute about the Service or these Terms will be decided by binding individual arbitration administered by the American Arbitration Association under its rules then in effect, rather than in court. The arbitration may be held online or by phone, or in Massachusetts. Either of us may instead bring an individual claim in small claims court, and either of us may ask a court to stop infringement of intellectual property or misuse of the Service.
No class actions. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding, and the arbitrator may not combine claims of more than one person.
Opting out. You can opt out of arbitration and the class action waiver by emailing support@igoquick.com within 30 days of first agreeing to these Terms, with your name, account email and a statement that you opt out. If you opt out, or if this section is found unenforceable, disputes go to the courts described below.
19. Governing law and courts
These Terms are governed by the laws of the Commonwealth of Massachusetts and applicable US federal law, without regard to conflict-of-law rules. Any court case allowed under these Terms will be brought only in the state or federal courts located in Massachusetts, and you and we agree to their jurisdiction. Nothing here takes away consumer protections that the law of your state says can’t be waived.
20. Changes to these Terms
We may update these Terms. We’ll change the “Last updated” date, and for significant changes we’ll email account owners or show a notice in the app at least 30 days before they take effect. If you keep using the Service after that, the new Terms apply. If you don’t agree, cancel before they take effect.
21. General
- Electronic notices. You agree that we can send agreements, notices and receipts electronically, by email or in the app.
- Whole agreement. These Terms and the policies they link to are the whole agreement between us about the Service.
- If part is invalid, the rest still applies. If we don’t enforce something right away, we can still enforce it later.
- Transfers. You may not transfer these Terms without our written permission. We may transfer them to a company that takes over the Service.
- Events outside our control, such as outages at our providers, natural disasters or internet failures, excuse delays they cause.
- We are independent parties; these Terms don’t create a partnership, agency or employment relationship.
